Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of The Compass, a behavioral health compliance intelligence platform operated by HelpUcompli, LLC (“HelpUcompli,” “we,” “us,” or “our”), including our website, applications, content, and related services (collectively, the “Service”).

By applying for access, creating an account, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

01Acceptance of these terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to both you and that organization.

Where your access is provided under a separate written agreement between HelpUcompli and your organization (for example, an order form or master subscription agreement), that agreement controls to the extent it conflicts with these Terms.

02The service

The Compass provides regulatory intelligence, multi-state tracking, price-transparency and market data, education, and community features designed to support healthcare and behavioral health compliance teams. We may add, change, or remove features over time to improve the Service.

Access to specific spaces and features depends on your plan and the configuration set by your organization.

03Eligibility & accounts

  • You must be at least eighteen (18) years old and able to form a binding contract to use the Service;
  • You agree to provide accurate, current, and complete information and to keep it up to date;
  • You are responsible for safeguarding your login credentials and for all activity that occurs under your account; and
  • You must notify us promptly of any unauthorized use or suspected security breach.

Accounts are for named individuals and may not be shared. Administrators at your organization may manage, suspend, or remove access associated with your organization's account.

04Plans, billing & renewals

  • Fees. Paid plans are billed in advance according to the plan and billing cycle selected on your order or at sign-up. Fees are stated exclusive of taxes, which you are responsible for.
  • Renewals. Unless otherwise stated, subscriptions renew automatically for successive terms until cancelled in accordance with your plan.
  • Changes. We may change pricing on renewal with prior notice. Continued use after a change takes effect constitutes acceptance.
  • Non-payment. We may suspend or limit access if fees are past due.
  • Refunds. Except where required by law or expressly stated, fees are non-refundable.

05Acceptable use

You agree not to, and not to permit others to:

  • Use the Service in violation of any applicable law or regulation;
  • Copy, scrape, resell, sublicense, or commercially exploit the Service or its content except as expressly permitted;
  • Reverse engineer, decompile, or attempt to derive source code, except to the extent permitted by law;
  • Interfere with or disrupt the integrity, security, or performance of the Service;
  • Upload malicious code, or attempt to gain unauthorized access to any system or data; or
  • Upload protected health information (PHI) into community posts, support tickets, or other free-text fields except where expressly permitted under a separate agreement.

06Member content & community

You retain ownership of the content you submit to the Service (“Member Content”). You grant HelpUcompli a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display Member Content as necessary to operate and improve the Service.

You are responsible for your Member Content and for your conduct in community spaces. You agree to interact respectfully and not to post content that is unlawful, infringing, confidential to others, misleading, or harmful. We may remove content or restrict access that violates these Terms.

07Informational use — no legal advice

The Service, including regulatory summaries, tracking, data, courses, and expert responses, is provided for informational and educational purposes only.

Not legal or compliance advice

The Service does not constitute legal advice, a legal opinion, or a substitute for professional judgment, and no attorney-client relationship is created by your use of it. You should consult qualified counsel and verify primary sources before making clinical, billing, coding, or compliance decisions.

08Intellectual property

  • Ownership. The Service, The Compass name and branding, HelpUcompli trademarks, logos, software, and content are and remain the exclusive property of HelpUcompli and its licensors.
  • Limited license. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes. No other rights are granted by implication or otherwise.
  • Feedback. If you provide suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use and commercialize it without restriction or obligation to you.

09Third-party services

The Service may link to or integrate with third-party platforms, content, or service providers. We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies. We do not endorse and are not liable for any third-party content or conduct.

10Confidentiality

Non-public materials made available through the Service — including unreleased features, documentation, pricing, and other proprietary information (“Confidential Information”) — are confidential to HelpUcompli. You agree not to disclose Confidential Information except to colleagues who need it to evaluate or use the Service and who are bound by comparable confidentiality obligations, and not to use it for any purpose other than your authorized use of the Service.

11Disclaimers

The Service and all content are provided “as is” and “as available,” without warranties of any kind. To the maximum extent permitted by law, HelpUcompli disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability. We do not warrant that the Service will be uninterrupted, error-free, or that any content is complete or current.

12Limitation of liability

To the maximum extent permitted by law, HelpUcompli will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any lost profits, lost data, or business interruption, arising out of or related to your use of, or inability to use, the Service.

To the extent any liability cannot be disclaimed, HelpUcompli's aggregate liability arising out of or relating to these Terms will not exceed the greater of the amounts you paid to us for the Service in the twelve (12) months preceding the claim, or one hundred U.S. dollars (USD $100).

13Indemnification

You agree to indemnify and hold harmless HelpUcompli and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Member Content, your use of the Service, or your violation of these Terms or applicable law.

14Term, suspension & termination

These Terms apply while you use the Service. We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Service, other users, or our rights. You may stop using the Service at any time; cancellation of paid plans follows your plan's terms.

Provisions that by their nature should survive termination — including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and governing law — will survive.

15Changes to the service or terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.

16Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
